Terms of Service
What these terms cover
These terms apply to the GIS Utils website, browser-based GIS tools, location datasets, purchases, and downloads. Purchasing a dataset gives you a licence to use it; it does not transfer ownership of the dataset compilation.
1. Agreement and eligibility
By accessing the site, using a tool, or purchasing a dataset, you agree to these Terms and our Privacy Policy. If you use the service for an organization, you confirm that you have authority to accept these Terms for that organization.
You must be legally able to enter into a contract. If you do not agree to these Terms, do not purchase a dataset or continue using the service.
2. The service
GIS Utils provides browser-based GIS utilities and downloadable location datasets. We may improve, replace, limit, or discontinue a tool or site feature. A change to a free tool does not alter an existing dataset licence or remove rights already granted for a completed purchase.
3. Accounts
An account is optional for snapshot purchases and required for dataset update passes. You are responsible for maintaining the security of your sign-in methods and for activity under your account. Information you provide must be accurate and kept current.
We may block registration or suspend access when reasonably necessary to address automated abuse, disposable email services, repeat registrations, Tor or datacenter traffic, fraud, payment reversals, or security threats. Account deletion begins a 30-day recovery period before permanent removal. Some records may still be retained for completed purchases, accounting, disputes, or law.
4. Browser-based GIS tools
Tool calculations and conversions are provided for convenience and are performed in your browser. You are responsible for reviewing output before relying on it, especially for engineering, navigation, safety, property, legal, or other consequential decisions.
You represent that you have the right to process any content you open or paste into a tool. Do not use the tools for unlawful activity, to violate another person’s rights, or to process information in a manner prohibited by an agreement that applies to you.
Map tools may display third-party basemaps. Basemap availability, labels, imagery dates, coverage, and accuracy are controlled by the relevant map provider.
5. Dataset licence
After payment, GIS Utils grants the purchasing person or organization a non-exclusive, non-transferable, revocable licence to use the purchased dataset for its own business, professional, research, or analytical purposes, subject to these Terms.
You may
- Analyze, filter, transform, enrich, and combine the dataset with other information;
- Use it in internal reports, models, systems, and workflows;
- Allow your personnel and contractors to use it on your behalf, provided they are subject to appropriate confidentiality and use restrictions;
- Publish maps, charts, statistics, and analytical results that do not expose a substantial portion of the underlying records or allow the dataset to be reconstructed.
You may not
- Sell, sublicense, publish, distribute, or provide the raw dataset or a materially equivalent copy to another person or organization;
- Make the dataset available through a public download, shared drive, API, searchable directory, or other service accessible outside the licensed organization;
- Use the dataset primarily to create or operate a competing location-data product or resale service;
- Remove notices included with the dataset or falsely claim that GIS Utils endorses you, your organization, or your conclusions;
- Circumvent download restrictions, payment controls, or other access safeguards.
Contact support@gisutils.com before purchase if your intended use requires redistribution, client delivery of raw records, sublicensing, or access by multiple unrelated organizations.
6. Purchases, Stripe, and taxes
Prices and currencies are shown before checkout and may change for future purchases. Stripe processes payments and may calculate or collect applicable taxes. By submitting an order, you authorize the charge shown at checkout and confirm that the payment and billing information provided is accurate and authorized.
A purchase is complete only after payment is confirmed. We may decline or cancel an order affected by an obvious pricing error, suspected fraud, unauthorized payment, or product unavailability. If a completed charge is cancelled by us, the corresponding amount will be refunded.
7. Delivery and download access
After confirmed payment, we create a continuing entitlement to the purchased dataset version. Account holders can generate fresh download links from their dashboard. Guest purchasers can request a new order-access email using the purchasing email address and order number. Individual access and file links expire for security, but the completed purchase itself does not expire.
Access remains subject to reasonable rate limits and may be restricted when a payment is refunded, reversed, disputed, or associated with fraud or a material violation of these Terms. You are responsible for keeping access links private, checking downloaded files, and maintaining an appropriate backup.
If a confirmation or download link does not arrive, contact support using the purchasing email address. Email filtering, mailbox availability, and other systems outside our control can delay delivery.
8. Dataset update passes
A dataset update pass is a one-time purchase that grants access to the current published dataset and to every new version of that dataset published during the three months after payment. We do not promise how often new versions will be published, or that locations will change between versions.
Update passes do not renew automatically. Versions granted during the paid period remain in your account after the pass ends; versions published after the end date require a new pass or separate purchase.
9. Refunds and order problems
You may request cancellation before the first dataset download. Because a dataset cannot be returned after delivery, a purchase is generally final once a download has been requested, except where a refund is required by law.
Contact support@gisutils.com promptly if you were charged twice, received the wrong product, cannot access the purchased file, or the file is corrupt or materially different from its listing. We may verify the order and provide a replacement, correction, restored access, partial refund, or full refund where appropriate. Refund requests may be assessed based on whether files were downloaded and whether the product was delivered as described.
A payment dispute or chargeback may suspend downloads and future update-pass releases while it is reviewed. Previously downloaded files cannot be technically recalled, but they remain subject to the dataset licence and redistribution restrictions in these Terms. This section does not limit any non-waivable consumer rights.
10. Dataset sources, accuracy, and freshness
Location datasets are compiled from sources we consider useful and reliable, but businesses open, close, relocate, rebrand, and change details. The date shown on a dataset page identifies its collection or verification period; it is not a guarantee that every record remains current on the date of purchase.
Datasets are not represented as complete, official, or error-free. Names and trademarks belong to their respective owners, and listings do not imply affiliation with or endorsement by the listed businesses. You must independently verify information before using it for safety-critical, regulated, legal, financial, property, or other consequential decisions.
Unless the listing expressly says otherwise, a purchase covers the identified version only. Later updates may be offered separately.
11. Acceptable use
You may not:
- Use the site, tools, or datasets in violation of law or another person’s intellectual-property, privacy, contractual, or other rights;
- Attempt to gain unauthorized access to orders, downloads, systems, or data;
- Introduce malicious code, interfere with site operation, evade rate limits, or place an unreasonable load on the service;
- Use automated means to copy substantial site content or catalogue listings in a way that competes with or disrupts the service;
- Misrepresent the source, accuracy, date, or scope of a dataset.
12. Ownership
Except for third-party materials and the limited dataset licence granted above, GIS Utils retains its rights in the website, tool code and interfaces, documentation, branding, and dataset selection, arrangement, and compilation. These Terms grant no right to use our name, logo, or branding.
You retain your rights in content you process with a browser-based tool. Using a tool does not transfer ownership of that content to GIS Utils.
13. Third-party services
Stripe, map providers, hosting, and email-delivery services operate under their own terms and privacy policies. We are not responsible for a third-party service’s independent content, availability, or handling of information, but we remain responsible for our own obligations under applicable law.
14. Disclaimers
To the maximum extent permitted by law, the site, tools, datasets, and downloads are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy. We do not guarantee uninterrupted operation, compatibility with every system, or that every error will be corrected.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by law, GIS Utils will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business, data, or opportunity; or decisions made from dataset or tool output.
Our aggregate liability arising from a purchased dataset will not exceed the amount paid for that dataset. For free tools, our aggregate liability will not exceed USD $100. These limits do not apply where liability cannot legally be limited, including liability arising from fraud or wilful misconduct where applicable.
16. Suspension and termination
We may suspend access to the site or a download when reasonably necessary to address fraud, a security threat, unlawful conduct, payment reversal, or a material violation of these Terms. Termination does not eliminate payment obligations or restrictions that by their nature continue, including dataset-use restrictions, ownership provisions, disclaimers, and liability limits.
17. Changes and contact
We may update these Terms as the service changes. The effective date identifies the current version. Changes apply prospectively when posted and do not retroactively reduce a licence already granted for a completed purchase, unless required by law or agreed with you.
